Blog Code of Conduct

Welcome to the Nielsen Blogs site. The Nielsen Blogs site is a website designed as a journey into the ever dynamic world of media measurements.  Developed by The Nielsen Company, a leading provider of marketing information, audience measurement, and business media products, the Nielsen Blogs site provides a unique opportunity and forum to make your opinions heard. 

This site is provided to you subject to Code of Conduct defined herein. Please take a moment to carefully review this Code of Conduct prior to enjoying the site.  If you do not agree to any of these terms, then please do not use the Nielsen Blogs site.

You agree and understand that we may modify this Code of Conduct and we may modify or discontinue the Nielsen Blogs site at any time without prior notice. Your continued use of the Nielsen Blogs site after any modifications indicates your acceptance of the modified Code of Conduct. It is therefore important that you review this Code of Conduct regularly to ensure you are updated of any changes.

1. Access and Registration

In order to use or access certain portions of the Nielsen Blogs site, you may be required to register or submit information to post a reply with us, including but not limited to, selecting a user name and password.  You certify to Nielsen that you are an individual at least 14 years of age.  You also certify that you are legally permitted to use the Nielsen Blogs site and take full responsibility for the use of the Nielsen Blogs Site. You agree to provide accurate, current and complete information about yourself as prompted on these pages.

2. Privacy Policy

Your use of the Nielsen Blogs site is subject to our Privacy Policy. Please take the time to read our Privacy Policy. By agreeing to this Code of Conduct, you are also accepting the terms of our Privacy Policy.

3. Use of the Nielsen Blogs Site

The Nielsen Blogs site (including, but not limited to, the design of the Nielsen Blogs site, text, graphics, logos, images, audio, video and other content and the selection and arrangement thereof), and all software that are part of the Nielsen Blogs site, are protected under the copyright laws of the United States and other countries. Except for the information, messages, data, text, music, sound, photographs, graphics, or other materials ("Content") submitted by Nielsen Blogs site users, the Nielsen Blogs site and all aspects thereof, including all copyrights, trademarks and other intellectual property or proprietary rights therein, is owned by Nielsen or its licensors or suppliers. Except for the Content posted by you, you may not modify, reproduce, distribute, create derivative works of, publicly display or in any way exploit, any of the Content, software and/or materials available on the Nielsen Blogs site in whole or in part without the prior written permission of Nielsen. The Nielsen Blogs site may not be used for commercial purposes.

4. Prohibited Conduct

Violations of this Code of Conduct may result in termination of access to the Nielsen Blogs site or deletion of Content without notice. 
You agree that you will not (nor will you enable or encourage any third party) to publish, post, link to any Content or otherwise:

  • Solicit passwords or personally identifiable information (such as first and last name, address, telephone number, etc.) for misleading, unintended, commercial or unlawful purposes from other users or members of the Nielsen Blogs site;
  • Create or transmit unwanted electronic communications such as "spam" to other users or members of the Nielsen Blogs site or otherwise interfere with another's enjoyment of the Nielsen Blogs site;
  • Defame, harass, intimidate, defraud, victimize, stalk, threaten or post Content that is defamatory, obscene, libelous, or otherwise;
  • Is false, misleading, misrepresenting (including impersonating any person or entity, including, but not limited to, Nielsen or a Nielsen staff ) or could damage Nielsen or any third party;
  • Promote or provide instructional information about illegal activities, or promote physical harm or injury against another person;
  • Promote racism, bigotry or hatred of any kind against any person or group;
  • Exceed the scope of the rights granted to you in connection with your use and enjoyment of the Nielsen Blogs site, such as adding to, or otherwise changing any Content or information contained on the site, including other people's postings or other Content when you have not been granted the privileges to do so;
  • Access, retrieve or index (by automated means or otherwise) any portion of the Nielsen Blogs site for purposes of constructing or populating a searchable database of members, their opinions or any other Content, materials or information located on the Nielsen Blogs site;
  • Scrape, robot, copy, aggregate, redistribute, alter, reproduce or re-use for any purpose any member's (whether specific to any particular member or as an aggregation) information accessible through the Nielsen Blogs site;
  • Modify, adapt, translate, decompile or reverse engineer any portion of the Nielsen Blogs site, including any Content or other materials posted on the site;
  • Remove any copyright, trademark or other proprietary rights notices contained in or on the Nielsen Blogs site made available hereunder, or in or on any Content or other materials contained on the Nielsen Blogs site;
  • Deep link to, frame, inline link, or similarly display any Content or the Nielsen Blogs site;
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content or other materials available on the Nielsen Blogs site;
  • Interfere or attempt to interfere with the proper working of the Nielsen Blogs site, including through the use of any device, routine, software or other mechanism;
  • Take any action that imposes, or may impose in our sole discretion, an unreasonable or disproportionately heavy burden on our IT infrastructure; or
  • Use the Nielsen Blogs site, intentionally or unintentionally, to violate any applicable local, state, national or international law, rule or regulation including, but not limited to laws related to copyright, intellectual property, or other proprietary rights.   

5. Content Posted

Nielsen is not responsible for the Content or activities submitted on the Nielsen Blog site.  The decision to view or engage all content contained on the Nielsen Blogs site is yours and you should use your judgment as such.  You are solely responsible for the Content that you post on or through Nielsen Blogs site, and for any material or information that you transmit to other members and users of the Nielsen Blogs site, as well as all of your interactions with them. Under no circumstances will we be liable in any way for any Content posted on the Nielsen Blogs site or otherwise made available through the Nielsen Blogs site. 
You further understand that we may or may not pre-screen any posted Content, and that any such Content does not necessarily reflect the opinions or policies of Nielsen. You understand that by visiting the Nielsen Blogs site, you may be exposed to Content that is offensive, indecent or that you otherwise find objectionable. We reserve the right (but not the obligation) in our sole discretion to refuse, edit, move, remove, or take any other action with respect to any Content that is available via the Nielsen Blogs site, including any Content posted by you.
Please remember that the Nielsen Blogs site is public and others will be able to read your postings and other Content that you supply on the Nielsen Blogs site without your knowledge. Accordingly, you should not have any expectation of privacy relative to the Content you submit. Always use caution when giving out any personally identifying information about yourself in any public forum.

6. Termination

You understand and agree that we may review and in our sole discretion and without any liability to Nielsen, discard any Content you post or otherwise transmit or make available within the Nielsen Blogs site, at any time and for any reason.

7. Indemnity

You agree to indemnify and hold Nielsen and its subsidiaries, affiliates, officers, directors, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (i) Content you submit, post, transmit or otherwise make available on or through the Nielsen Blogs site, (ii) your use of the Nielsen Blogs site, (iii) your violation of this Code of Conduct or (iv) your violation of any intellectual property or other rights of another.

8. Disclaimer of Warranties

You expressly understand and agree that:
YOUR USE OF THE NIELSEN BLOGS SITE IS AT YOUR SOLE RISK. THE NIELSEN BLOGS SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NIELSEN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

9. Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT NIELSEN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, CONTENT, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) YOUR USE OR THE INABILITY TO USE THE NIELSEN BLOGS SITE; (II) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT OR OTHER INFORMATION; (III) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE NIELSEN BLOGS SITE; OR (IV) ANY OTHER MATTER RELATING TO THE NIELSEN BLOGS SITE. IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THIS CODE OF CONDUCT, NIELSEN IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OUR IS ANY WAY CONNECTED TO YOUR USE OF THE NIELSEN BLOGS SITE, NIELSEN'S MAXIMUM LIABILITY WILL BE THE GREATER OF THE AMOUNTS PAID BY YOU TO NIELSEN (IF ANY) OR US$25.00.

The effective date of this Code of Conduct is December 3, 2007.
